Whatever you do, make sure this is well defined *before* you file your
papers.  Also in terms of AGMs and the risk of hostile take overs,
make sure in your bylaws it states that people are only allowed to
"block" or vote at AGMs or at meetings if they have only been to three
meetings or have some other type if safety measure in place.  This
help prevents a bunch of yahoos coming in and taking over come AGM
time.
